1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and KnowYourAgent ("Company," "we," "us," or "our") governing your access to and use of the KnowYourAgent platform, services, and related documentation (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

KnowYourAgent provides an enterprise-grade AI agent identity verification and compliance platform designed for financial services institutions. Our Services include:

• AI agent identity verification and attestation
• Cryptographic ownership validation
• Compliance audit trails and reporting
• Behavioral monitoring and threat detection
• Integration with KYC/KYB providers
• API access and SDKs
• Documentation and technical support

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your organization. By registering, you represent and warrant that all information you provide is accurate and complete.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Implementing appropriate security measures for API keys

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services solely for verifying and managing AI agents within your organization.

4.2 Prohibited Activities

You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble any part of the Services
• Remove or modify any proprietary notices or labels
• Use the Services to transmit malware or malicious code
• Violate any applicable laws, regulations, or third-party rights
• Share, resell, or sublicense access to the Services without authorization
• Use the Services to compete with or harm our business

5. Fees and Payment

5.1 Pricing

Fees for the Services are as specified in your subscription plan or enterprise agreement. We reserve the right to modify pricing with 30 days' notice for existing customers.

5.2 Payment Terms

• Payment is due in advance unless otherwise agreed in writing
• All fees are non-refundable except as required by law
• Late payments may result in service suspension
• You are responsible for all applicable taxes

5.3 Free Trials

Free trial periods are subject to limitations specified at registration. We may terminate or modify free trials at any time without notice.

6. Data Rights and Responsibilities

6.1 Your Data

You retain all rights to data you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Services and as described in our Privacy Policy.

6.2 Data Accuracy

You represent and warrant that Customer Data: (a) does not violate any laws or third-party rights, (b) is accurate and complete, and (c) you have obtained all necessary consents for its processing.

6.3 Data Processing

We process Customer Data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA. For enterprise customers, a Data Processing Agreement (DPA) is available upon request.

7. Intellectual Property Rights

7.1 Our Rights

The Services, including all software, documentation, trademarks, and content, are owned by KnowYourAgent and protected by intellectual property laws. We retain all rights not expressly granted to you.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term, solely for your internal business purposes.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Services become our property, and we may use them without compensation or attribution.

8. Service Level and Support

8.1 Availability

We strive to maintain 99.9% uptime for enterprise customers as specified in the Service Level Agreement (SLA). The SLA is available separately for enterprise plans.

8.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

8.3 Support

Support levels vary by plan. Enterprise customers receive priority support with defined response times. Support hours and channels are specified in your subscription agreement.

9. Confidentiality

Both parties agree to maintain the confidentiality of Confidential Information, which includes:

• Technical specifications and implementation details
• Business information and strategies
• Pricing and financial terms
• Customer Data

Confidential Information does not include information that: (a) is publicly available, (b) was rightfully known before disclosure, or (c) is independently developed.

10. Compliance and Regulatory Requirements

You acknowledge that:

• You are responsible for compliance with applicable laws and regulations
• The Services are designed to support compliance but do not guarantee it
• You must conduct your own compliance assessments
• We will cooperate with regulatory examinations as required
• Audit trails will be maintained for required retention periods

11. Warranties and Disclaimers

11.1 Our Warranties

We warrant that the Services will perform materially in accordance with our documentation. This warranty does not apply to issues caused by misuse, modifications, or factors outside our control.

11.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Some jurisdictions do not allow limitation of certain damages, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless KnowYourAgent from any claims, damages, or expenses (including reasonable attorney fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Customer Data you submit to the Services

14. Term and Termination

14.1 Term

These Terms begin when you first access the Services and continue until terminated by either party.

14.2 Termination by You

You may terminate your subscription at any time through your account settings. Termination is effective at the end of your current billing period.

14.3 Termination by Us

We may suspend or terminate your access if:

• You breach these Terms
• Your account is overdue on payment
• Your use poses a security risk
• Required by law or legal process

14.4 Effect of Termination

Upon termination: (a) your access to the Services will cease, (b) you must pay all outstanding fees, and (c) we will delete or return Customer Data as requested, subject to legal retention requirements.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@mail.knowyouragent.xyz to seek informal resolution.

15.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in San Jose, California.

15.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action.

16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

16.2 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or platform notice. Continued use after changes constitutes acceptance.

16.3 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.4 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.

16.5 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full effect.

16.6 Entire Agreement

These Terms, together with our Privacy Policy and any executed agreements, constitute the entire agreement between you and KnowYourAgent regarding the Services.

17. Export Compliance

The Services may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo and are not on any U.S. government restricted party list.

18. Government Users

If you are a U.S. government entity, the Services constitute "Commercial Items" as defined in 48 C.F.R. §2.101, and are provided with only those rights granted to commercial users.
